TERMS AND CONDITIONS OF PURCHASE
The Terms and Conditions set out below shall apply to the purchase of services between the parties of MC Education and the purchasing schools and/or businesses.
Reference to goods shall mean licences, equipment, materials, spares as required under the service provision.
1. Statement
The contract relating to provision of services ('the services", which expression includes any of them or any part of them) will be on the terms and conditions set out below (the “Contract Terms”) to the exclusion of any other terms and conditions contained or referred to in any document or statement sent by the Purchaser.
2. Price and Payment
2.1 Unless MC Education agrees otherwise in writing, the price shall be that as has been quoted
2.2 All quotes are valid for a period of 90 days
2.3 Access to licence codes will only be made available once payment has been completed in full
2.4 Failure to pay invoices submitted by MC Education within 30 days of submittal will result in the cancellation of the order
2.5 Where any charge is made for Value Added Tax, the invoice shall be in the form as laid down from time to time by H.M. Customs & Excise for Value Added Tax purposes. Invoices will be issued on email if the payment for services is made online. Payment by cheque, once cleared, will also result in an electronic invoice.
3.0 Data Integrity
3.1 MC Education undertakes to use best endeavours as to the accuracy of the content of School Staff Safeguarding Quiz (SSSQ), but accepts no liability with respect to any changes in legislation or guidance implemented. MC Education will be afforded the opportunity to implement any required amendments required due to legislative changes or guidance.
3.2 MC Education accepts no responsibility for any quiz questions that are incorrect and utilisation by the Purchaser of the SSSQ does not in any way relieve the user of its obligations and duties under legislation and/or regulation. Safeguarding compliance is the responsibility of the school and leaders.
4.0 The Contract
4.1 The Purchaser may at any time request reasonable changes relating to the Contract, but there Is no obligation on MC Education to consider and/or agree to these changes. If such changes result in a variation in cost of, or time required for, the performance of the Contract, an equitable adjustment shall be made to the price, delivery schedule or both. Any claim or adjustment by the Contractor must be approved by the Purchaser in writing before the Contractor proceeds with such change.
5.0 Licence users
5.1 Users are not permitted to share, re-produce, copy, screenshot, disclose to third parties or utilise any means in order to disseminate the content of the SSSQ with any other party.
6.0 Confidentiality
6.1 Both parties agree to keep confidential and not to disclose to any third party the terms of this Agreement or details of the Services provided under this Agreement, unless it can be demonstrated that this information was already in the public domain.
7.0 Data Protection
7.1 Both parties warrant that they will duly observe all of their obligations under the General Data Protection Regulations 2018 which arise in connection with this Agreement.
8.0 Right to Terminate
8.1 MC Education shall be entitled to terminate the Contract without liability and without prejudice to the Purchaser's other rights in any of the following circumstances:-
· failure to pay of licence holder
· any proceedings have been commenced or action taken relating to the insolvency or possible insolvency of the contractor
- general provision of 60 days notice
8.2 Upon termination howsoever arising any outstanding payments to MC Education shall be immediately due
9.0 Patents and Designs
9.1 Copyright (and all other intellectual property rights) in respect of materials, drawings, designs, specifications, software, plans or other document or material created and/or developed by MC Education will remain vested in MC Education.
10.0 General
10.1 No part of the contract may be assigned, novated, sub-let or sub-contracted without either parties express written agreement.
10.2 Failure by MC Education to enforce any of the Contract Terms will not be construed as a waiver of its rights
10.3 This Contract will be construed and operate in accordance with English law and the parties submit to the non-exclusive jurisdiction of the English courts
11.0 Anti-Corruption
11.1 Both parties shall at all times comply with all applicable laws, statutes, regulations another generally accepted rules and standard of business conduct relating to anti-bribery and anti-corruption, including, but not limited to, the Bribery Act 2010 (Anti-Bribery Requirements)
11.2 Where MC Education identifies a Conflict of Interest, or risk of Conflict of Interest they will advise of the conflict and what steps they are taking to mitigate the risk.
12.0 Slavery Act
12.1 The Contractor confirms that in entering into this agreement with MC Education that they have taken the necessary measures to ensure that both its own organisation and its supply chain are compliant in all respects with the Modern Slavery Act 2015.
13.0 Governing Law
13.1 This Agreement shall be governed by and construed in accordance with English Laws and the parties submit to the exclusive jurisdiction of the English Courts.
